Sprint Phone Connect, a sleek plug-and-play device, enables end users to plug their current office or home landline phone into the Sprint Phone Connect device and calls will be carried on the nationwide Sprint 3G Network. Sprint Announces Consent Solicitation with Respect to Certain Series of Notes

OVERLAND PARK, Kan. (BUSINESS WIRE), November 13, 2012 - Sprint (NYSE: S) announced today that it has commenced a consent solicitation with respect to proposed amendments (the "Proposed Amendments") to the indenture, as supplemented (the "Indenture"), governing its 8.375% Notes due 2017 (CUSIP No. 852061AF7), 11.500% Notes due 2021 (CUSIP Nos. 852061AM2 and 852061AH3), 9.000% Guaranteed Notes due 2018 (CUSIP Nos. 852061AK6 and U84691AB7), 9.125% Notes due 2017 (CUSIP Nos. 852061AP5 and U84691AC5), 7.000% Guaranteed Notes due 2020 (CUSIP Nos. 852061AQ3 and U84691AD3), and 7.000% Notes due 2020 (CUSIP No. 852061AR1) (collectively, the "Notes," and each series of the Notes, a "Series").

Sprint is soliciting consents from holders of record as of 5:00 p.m., New York City time, on November 9, 2012 (such date and time, the "Record Date") to amend the definition of "Change of Control" contained in the Indenture pertaining to each Series to provide an exception to the definition of "Change of Control" for transactions involving one or more "Permitted Holders," which are defined in the Proposed Amendments to include SOFTBANK CORP. and its affiliates (collectively, "SoftBank").

Under the Indenture, the occurrence of both a "Change of Control" and a Ratings Decline (which is defined with respect to each Series as a ratings downgrade from both of Moody's Investor Services, Inc. ("Moody's") and Standard & Poor's Ratings Services ("S&P")) is a "Change of Control Triggering Event" requiring Sprint to make an offer to each holder of Notes to repurchase each holder's Notes for 101% of the principal amount thereof plus accrued and unpaid interest (a "Change of Control Offer"). If the Proposed Amendments are adopted and SoftBank becomes the beneficial owner, directly or indirectly, of more than 50% of the voting power of Sprint's common stock or engages in a transaction otherwise constituting a Change of Control with SoftBank, such transactions will not constitute a Change of Control under the Indenture, a Change of Control Triggering Event will not have occurred (without regard to any Ratings Decline) and Sprint will not be required to make a Change of Control Offer. Sprint was placed on "Review for Upgrade" by Moody's and "Credit Watch Positive" by S&P on October 15, and October 11, 2012, respectively.

Sprint is offering to pay each holder of record as of the Record Date who validly delivers and does not validly revoke its consent on or prior to the Expiration Time (as defined below) a cash payment of $1.00 for each $1,000 in aggregate principal amount of Notes of all Series for which a consent is provided, subject to satisfaction or waiver of certain conditions, including the receipt of valid consents in respect of a majority in aggregate principal amount of the outstanding Notes, voting as a single class. If holders of a majority of the aggregate principal amount of the Notes of all Series, voting as a single class, do not consent to the Proposed Amendments, Sprint may in its sole discretion accept the requisite consents only with respect to specific Series of Notes, in which event only holders of Notes of such specific Series will be bound by the Proposed Amendments and only holders validly delivering consents in respect of such Series will receive the Consent Payment.

Sprint expects that, promptly after receipt of the requisite consents at or prior to the Expiration Time, we will give notice to The Bank of New York Mellon Trust Company, N.A. (the "Trustee") that the requisite consents have been obtained and Sprint, the subsidiary guarantors of the Notes, as applicable, and the Trustee will execute the supplemental indenture (the "New Supplemental Indenture") that will amend the Indenture. Holders will not be able to revoke their consents after the execution (such time, the "Effective Time") of the New Supplemental Indenture. Holders should note that the Effective Time may be prior to the Expiration Time and holders will not be given prior notice of such Effective Time.

The consent solicitation will expire at 5:00 p.m., New York City time, on November 19, 2012 (as such date may be extended by Sprint in its sole discretion) (the "Expiration Time").     OVERLAND PARK, Kan. (BUSINESS WIRE), November 09, 2012 - Sprint (NYSE:S) announced today it intends to redeem a portion of 2014 debt maturities with an aggregate principal amount of $1,169,886,500 on Nov. 19, 2012. The securities comprising this debt retirement are the Nextel Communications, Inc. 5.95 percent Notes due 2014.

    The Company also intends to redeem the remaining portion of 2015 debt maturities with an aggregate principal amount of approximately $1,109,960,000 on Nov. 19, 2012. The securities comprising this debt retirement are the Nextel Communications, Inc. 7.375 percent Notes due 2015.

    The 2014 and 2015 Nextel Notes will be redeemed at par, plus accrued and unpaid interest until the redemption date. After this retirement, no 2014 or 2015 Nextel Notes will remain outstanding.

    The remaining outstanding principal balance of the Company's 2013 and 2014 Note maturities is $300 million and $181 million, respectively.

    Sprint intends to use the net proceeds from the offering for redemptions of outstanding debt.

(BUSINESS WIRE), November 07, 2012 - Sprint (NYSE: S) today announced that it has entered into a definitive agreement with U.S. Cellular (NYSE: USM) to acquire PCS spectrum and customers in parts of Illinois, Indiana, Michigan, Missouri and Ohio including the Chicago and St. Louis markets for $480 million in cash and the assumption of certain liabilities. The additional spectrum will be used to supplement Sprint's coverage in these areas as it continues to deploy its Network Vision upgrade and roll out 4G LTE nationally.

"Acquiring this spectrum will significantly increase Sprint's network capacity and improve the customer experience in several important Midwest markets including Chicago and St. Louis.     Under the terms of the agreement, Sprint will acquire 20 MHz of PCS spectrum in the 1900 MHz band in various Midwest markets including Chicago, South Bend, Ind. and Champaign, Ill. and 10 MHz of PCS spectrum in the St. Louis market. In addition, the transaction involves approximately 585,000 U.S. Cellular customers. U.S Cellular will continue its business operations outside of these markets following the closing.

    The transaction is subject to regulatory approvals by the Department of Justice and the Federal Communications Commission and is expected to close in mid-2013. In the meantime, the accounts and service of U.S. Cellular customers in these markets will not change. Once the transaction is closed, Sprint will provide additional information on transition plans.     • Girl Scouts of Greater Atlanta was awarded a $25,000 Sprint Foundation grant for its Leadership Experience Outreach Program. This funding will help underwrite the costs of participation for 5,000 girls from low-income households to participate in Girl Scouting. These girls will work toward proficiency badges in areas such as financial literacy, STEM educational initiatives and career exploration.
    • The Atlanta Botanical Garden was awarded a $15,000 Sprint Foundation grant for its Education and the Environment Program. This funding will be used to engage 14,000 students from the Atlanta Public School system in a variety of educational programs, including after-school activities, classroom-garden taste tests, field trips, a science-outreach program, and a student wellness-ambassador program.
    • Horizon Theatre Company was awarded a $10,000 Sprint Foundation grant for its Education Outreach Program.     NEW YORK, Nov. 5, 2012 (GLOBE NEWSWIRE) -- In an effort to quickly help attain an internet connection for many small- and medium-sized businesses located in the boroughs of New York City, Clearwire (Nasdaq:CLWR) has set up a distribution of free 4G internet service (usable for 30 days) at its retail store located on 94th Street in Manhattan. The address of this store is 2519 Broadway, New York, NY 10025.

    Clearwire continues to make tremendous progress in restoring service to tens of thousands of customers throughout the Northeast and Mid-Atlantic region who temporarily lost service due to the widespread destruction left by Hurricane Sandy.  Clearwire's network team, in partnership with Ericsson, has been able to fully restore service to several markets, including Washington D.C., Baltimore, Boston, Cleveland, and Rochester, New York. We expect soon to have full restoration of service in Philadelphia and Bridgeport, Connecticut.

    Significant restoration progress continues to be made in numerous other East Coast markets as well, including the boroughs of New York City and Northern New Jersey.  Clearwire teams continue to work around-the-clock to provide critical mobile, home and office 4G broadband internet service for current and new customers as quickly as possible. For the safety of Clearwire personnel and the general public, some of this service restoration work may be disrupted in the short-term by the next storm that is anticipated to hit the region on November 7th.

    Impacted Customers:

    Due to Hurricane Sandy, customers may experience temporary or intermittent service outages, as well as lengthier Customer Care wait times. Clearwire will address and resolve service issues as quickly as it can, with personal safety (of both its customers and employees) being a top priority.  Customers experiencing no service or intermittent service should call 888-888-3113, where a Clearwire Customer Care representative can be reached 24 hours a day, 7 days a week.  Clearwire is issuing prorated service credits for customers throughout the affected region who are without CLEAR internet service. Customers additionally can ask and receive answers to CLEAR service-related questions through Clearwire's social media channels on Twitter (@CLEAR) and Facebook (CLEAR4G).
