(BUSINESS WIRE), November 07, 2012 - Sprint (NYSE: S) today announced that it has entered into a definitive agreement with U.S. Cellular (NYSE: USM) to acquire PCS spectrum and customers in parts of Illinois, Indiana, Michigan, Missouri and Ohio including the Chicago and St. Louis markets for $480 million in cash and the assumption of certain liabilities. The additional spectrum will be used to supplement Sprint's coverage in these areas as it continues to deploy its Network Vision upgrade and roll out 4G LTE nationally.

"This transaction will enable us to strengthen our business and become a more robust competitor," said Dan Hesse, Sprint's CEO. "Acquiring this spectrum will significantly increase Sprint's network capacity and improve the customer experience in several important Midwest markets including Chicago and St. Louis. Under the terms of the agreement, Sprint will acquire 20 MHz of PCS spectrum in the 1900 MHz band in various Midwest markets including Chicago, South Bend, Ind. and Champaign, Ill. and 10 MHz of PCS spectrum in the St. Louis market. In addition, the transaction involves approximately 585,000 U.S. Cellular customers. U.S Cellular will continue its business operations outside of these markets following the closing.

The transaction is subject to regulatory approvals by the Department of Justice and the Federal Communications Commission and is expected to close in mid-2013. In the meantime, the accounts and service of U.S. Cellular customers in these markets will not change. Once the transaction is closed, Sprint will provide additional information on transition plans. The 2012 grant recipients are as follows:

  • Girl Scouts of Greater Atlanta was awarded a $25,000 Sprint Foundation grant for its Leadership Experience Outreach Program. This funding will help underwrite the costs of participation for 5,000 girls from low-income households to participate in Girl Scouting. These girls will work toward proficiency badges in areas such as financial literacy, STEM educational initiatives and career exploration.
  • The Atlanta Botanical Garden was awarded a $15,000 Sprint Foundation grant for its Education and the Environment Program. This funding will be used to engage 14,000 students from the Atlanta Public School system in a variety of educational programs, including after-school activities, classroom-garden taste tests, field trips, a science-outreach program, and a student wellness-ambassador program.
  • Horizon Theatre Company was awarded a $10,000 Sprint Foundation grant for its Education Outreach Program. Each year, this program enables more than 6,500 people of all ages to attend or participate in productions, readings and workshops through a Family Series, Young Playwrights Festival, Apprentice Company and Intern Company.

NEW YORK, Nov. 5, 2012 (GLOBE NEWSWIRE) -- In an effort to quickly help attain an internet connection for many small- and medium-sized businesses located in the boroughs of New York City, Clearwire (Nasdaq:CLWR) has set up a distribution of free 4G internet service (usable for 30 days) at its retail store located on 94th Street in Manhattan. The address of this store is 2519 Broadway, New York, NY 10025.

"Clearwire understands the needs of business owners, and hence we are pleased to be able to provide internet connectivity to businesses that have lost connectivity due to the destructive storm of last week," said Sean Reid, director of sales in the Northeast for Clearwire. "The Manhattan Chamber of Commerce is a great partner to help us reach impacted businesses as quickly as possible."

CLEAR has set up a distribution station so that Manhattan Chamber of Commerce members can stop by the 94th Street location to pick up either a CLEAR Spot Voyager mobile hotspot or CLEAR Stick Atlas USB dongle to utilize for these members' businesses. A valid driver's license (or New York State I.D.)  and local Chamber of Commerce membership are the only requirements to qualify for assistance.  One device per business will be distributed.

Northeast and Mid-Atlantic Restoration Efforts:

Clearwire continues to make tremendous progress in restoring service to tens of thousands of customers throughout the Northeast and Mid-Atlantic region who temporarily lost service due to the widespread destruction left by Hurricane Sandy.  Clearwire's network team, in partnership with Ericsson, has been able to fully restore service to several markets, including Washington D.C., Baltimore, Boston, Cleveland, and Rochester, New York. We expect soon to have full restoration of service in Philadelphia and Bridgeport, Connecticut.

Significant restoration progress continues to be made in numerous other East Coast markets as well, including the boroughs of New York City and Northern New Jersey.  Clearwire teams continue to work around-the-clock to provide critical mobile, home and office 4G broadband internet service for current and new customers as quickly as possible. For the safety of Clearwire personnel and the general public, some of this service restoration work may be disrupted in the short-term by the next storm that is anticipated to hit the region on November 7th.

Impacted Customers:

Due to Hurricane Sandy, customers may experience temporary or intermittent service outages, as well as lengthier Customer Care wait times. OVERLAND PARK, Kan. (BUSINESS WIRE), November 01, 2012 - As residents and businesses recover from the impacts of Hurricane Sandy, Sprint (NYSE:S) reports that its network has been fully restored to customers in Washington, D.C., Maryland, Virginia, Delaware, Maine, Vermont, Ohio and Kentucky.

Significant progress has also been made for customers in Massachusetts, New Hampshire, Pennsylvania and Rhode Island, where the Sprint Network is more than 90 percent operational.

In New York, New Jersey and Connecticut, Sprint's network is more than 80 percent operational, but challenges remain for the hardest hit areas of these states, including metropolitan New York City and portions of the New Jersey coast. In New York City, for example, approximately three-quarters of the network is operational, but challenges remain in obtaining commercial power, backhaul connections, and gaining safe access to cell sites.

Sprint assists customers and reopens retail stores impacted by Hurricane Sandy

To assist customers impacted by the storm, Sprint is proactively waiving late fees; overage charges for voice, text and data; roaming fees; and call-forwarding fees for Sprint services used between Oct. 29 and Nov. 28. This waiver applies to Sprint customers in select counties in the states of Connecticut, Delaware, Maine, Maryland, Massachusetts, New Jersey, New York, Pennsylvania, and Rhode Island.

Impacted prepaid customers on Boost Mobile Monthly Unlimited, Virgin Mobile Beyond Talk and payLo by Virgin Mobile Unlimited Talk and Text plans will receive extended service if they are at risk of not making their payment due date. Boost Mobile Pay As You Go and payLo customers will receive a $10 account credit.

Sprint has also reopened more than 160 of its nearly 200 retail stores that were closed due to Hurricane Sandy.

Sprint Foundation donates $500,000 to American Red Cross relief efforts

Additionally, the Sprint Foundation has made a $500,000 donation to the American Red Cross to support its disaster-relief efforts in the areas impacted by Hurricane Sandy, and will match all American Red Cross donations made by Sprint employees, retirees and members of the Sprint board of directors.

In total, three area non-profit organizations were awarded grants as part of this signature community-support program. The Denver Local Giving Program awards Sprint Foundation grants totaling $50,000 to area non-profits that support Sprint's philanthropic focus areas of youth development (including mentoring, leadership and academic achievement), arts and culture, and environmental stewardship. Grants were presented and recipient organizations honored at a local reception last night.

The 2012 grant recipients are as follows:

  • Big Brothers Big Sisters of Colorado was awarded a $25,000 Sprint Foundation grant. The funding will be used to support its Community Based Mentoring program, which serves 1,100 children each year, and its Sports Buddies program, which is designed to engage male volunteers to mentor boys in the community who are in need of male role models. There are 500 children who participate in this program each year and attend or participate in sports-based activities.
  • Denver Kids, Inc. was awarded a $15,000 Sprint Foundation grant. The funding will be used for one-on-one educational counseling, volunteer mentoring, post-secondary guidance and planning, and parent and student engagement. Denver Kids works with at-risk youth in 151 schools, directly impacting more than 1,000 students each year in order to help them reach their full academic potential.
  • Denver Museum of Nature & Science was awarded a $10,000 Sprint Foundation grant for its Passport to Health Program, which impacts more than 3,000 Denver-area fifth-grade students and their families. Through hands-on education courses, students will learn about and advocate healthy options and behaviors. Teachers are provided with health resources for their classrooms and the families of the students receive a free one-year membership to the museum.

Sprint is a long-time supporter of the Denver community, and this is the fourth year Sprint has conducted the Denver Local Giving Program.
